Terms of Service
LAST UPDATED SEPTEMBER 18, 2026 · XBUILDERAI LTD
Terms governing your use of Goodstand, operated by XBUILDERAI LTD — compliance monitoring and filing-support tools for existing U.S. companies, starting with foreign-owned U.S. LLCs.
We are not a law firm.
Goodstand provides compliance infrastructure and informational tools. Nothing here or elsewhere on the platform is legal or tax advice. When a matter needs licensed counsel, we say so.
1. Acceptance of terms
These Terms of Service ("Terms") govern access to and use of Goodstand (the "Service"), operated by XBUILDERAI LTD ("we", "us", "our"). By creating an account, using the Service, or requesting a plan or filing service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of the Service
Goodstand is a post-formation compliance platform for existing U.S. companies, starting with foreign-owned U.S. LLCs. The Service may include a public Company Check, a dashboard of compliance information based on available data, monitoring and reminders, document storage, service requests, and filing assistance. Live registry checks currently start with Wyoming. Additional U.S. states and other jurisdictions may be added over time. Features vary by plan and by what is available for your company.
Some plans or catalog services may be offered in request-only mode. In that mode, submitting a request is not a purchase, does not start a filing by itself, and does not require payment at the time of the request. We review the request and contact you about next steps.
- Company Check — a public-registry snapshot for supported jurisdictions, with a fuller dashboard after sign-in where offered
- Monitor — ongoing registry monitoring, reminders, documents, and official-mail capture where that feature is enabled
- Managed and catalog services — filing and related support prepared from information you provide, subject to review, approval, and authority processing
3. Account eligibility
You must be at least 18 years old and able to enter a binding contract. You represent that information you provide is accurate and that you have authority to bind any entity you register on the platform. One person may manage multiple entities under a single account where the product allows it.
4. Company and account accuracy
You are responsible for the accuracy and completeness of account details, company information, ownership details, documents, and other materials you submit. Dashboard status, deadlines, and filing drafts are based on the information you provide and on public or third-party sources that may be delayed or incomplete. You should update us promptly when company details change.
5. Plans, requests, and fees
Plan names, included features, and displayed prices are described on the Service. When paid checkout is offered, paid plans renew at the interval shown at checkout unless cancelled before the renewal date, and you may cancel from your account settings; access continues through the end of the current billing period unless otherwise stated. We do not lock you into long-term contracts unless explicitly stated on a custom agreement.
Catalog prices are Goodstand service fees unless a page clearly says otherwise. Government filing fees, state registry fees, IRS fees, registered-agent provider charges, and similar pass-through costs are separate and are not included in the service fee unless we expressly say they are included. During request-only access, no payment is collected when you submit a request; quoted government or provider fees are confirmed before any charge.
6. Filing and service assistance
When you request a filing or related service, you authorize us to review the request, collect needed information, prepare documents from the information you supply, and — after you approve where the product provides a review step — submit or arrange submission. We may perform that work with employees, contractors, or qualified third-party providers (including filing partners, registered-agent providers, or licensed tax professionals) as needed to complete the requested service. We share only the information required for that work.
You remain responsible for providing accurate, complete, and timely information and documents. If we need additional details, we will ask before we can complete the work. We do not guarantee acceptance, processing times, or a particular outcome by a state agency, the IRS, FinCEN, or any other authority. Those decisions are outside our control. Rejections or delays caused by inaccurate or incomplete information you supply are your responsibility. We will use reasonable efforts to notify you of issues and help with resubmission where that support is included.
7. Not legal or tax advice
Goodstand is not a law firm, CPA firm, accounting firm, registered agent, government entity, or licensed tax practice. Nothing on the Service — including Company Check results, dashboard status, scores, deadlines, reminders, or AI-assisted responses — is legal, tax, or financial advice, and use of the Service does not create a professional-client relationship. Specialized legal or tax matters may require a licensed professional. See our Disclaimer.
8. Registry data and informational tools
Status, standing scores, risk labels, and similar indicators are informational operational guidance based on available public registry records, information you provide, documents, correspondence we receive for your company, and our processing of that data. We may cache, normalize, and display that information. A Goodstand result is not a government certificate or a legal determination of good standing. Registry data can be delayed or incomplete. Verify time-sensitive legal status directly with the relevant authority or a qualified professional when necessary.
9. Your obligations
- Provide accurate, complete information for entities and filings you manage
- Maintain the security of your account and sign-in access
- Respond promptly to requests for information needed to complete a service
- Comply with applicable laws in your jurisdiction and where your entities operate
- Not use the Service for fraudulent, unlawful, or abusive purposes
10. Acceptable use
You may not reverse engineer the Service, scrape it in ways that impair performance, upload malware, attempt unauthorized access, or use the Service to harass others. We may suspend or terminate accounts that violate these rules or pose risk to other users or to our infrastructure.
11. Third-party providers
The Service uses infrastructure and service providers, and we may involve contractors or partners to perform requested work. Their systems and decisions — including government portals — are not fully under our control. Provider terms apply to their services. We remain responsible for the Service only within the scope we actually promise. We are not responsible for third-party outages, authority decisions, fee changes, or policy updates.
12. Intellectual property
We own the Service, software, branding, and documentation. You retain ownership of documents and data you upload. You grant us a limited license to host, process, and display your content solely to provide the Service. You may download documents from the product where download is available.
13. Confidentiality
We treat your entity documents and account information as confidential and do not sell them or share them for advertising. Our handling of personal data is described in the Privacy Policy and GDPR notice.
14. Limitation of liability
To the fullest extent permitted by law, neither XBUILDERAI LTD nor its officers, employees, or contractors shall be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising from your use of the Service. Our aggregate liability for any claim relating to the Service is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
15. Indemnification
You agree to indemnify and hold harmless XBUILDERAI LTD from claims arising out of your misuse of the Service, inaccurate information you provide, or violation of these Terms or applicable law.
16. Suspension, termination, and account deletion
Either party may end the relationship as described in your plan terms or by closing the account. You may schedule account deletion in Settings. Deletion starts a recovery window of 30 days, after which remaining account data is purged except records we must keep for law, security, or billing. You may request export of documents you can access before closure. We may suspend or terminate accounts that violate these Terms.
17. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Courts in England and Wales shall have exclusive jurisdiction, except where mandatory consumer protection laws in your country of residence require otherwise.
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes take effect constitutes acceptance. If you disagree with a change, stop using the Service and close your account before the effective date.
